Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CleerWayID website, REST API, and native SDK (collectively, the "Service"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "CleerWayID", "we", "our", "us" — the company operating the CleerWayID platform.
  • "Developer" / "you" — any individual or entity that registers for and uses the API or SDK.
  • "End User" — a person whose identity is verified through CleerWayID in a Developer's application.
  • "Verification" — a single identity check session (OCR, liveness, or age check).
  • "API Key" — the secret credential issued to a Developer to authenticate API requests.

2. Eligibility & Account Registration

You must be at least 18 years old and legally authorised to enter into contracts in your jurisdiction to use the Service. By registering, you confirm that the information you provide is accurate and that you will keep it up to date. You are responsible for maintaining the security of your API Key and for all activity carried out under your account.

3. Permitted Use

Subject to these Terms and payment of applicable fees, CleerWayID grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for the purpose of verifying the identity of End Users within your own application.

You may use the Service only for lawful purposes and only in a manner that:

  • Complies with all applicable laws and regulations, including data protection and anti-discrimination law.
  • Respects the privacy and dignity of End Users.
  • Obtains all necessary consents from End Users before initiating a verification session.
  • Discloses to End Users that CleerWayID is used for identity verification and links to our Privacy Policy.

4. Prohibited Use

You must not use the Service to:

  • Verify identities for unlawful purposes, including facilitation of fraud, money laundering, or terrorist financing.
  • Discriminate against End Users on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Build, train, or improve a competing identity verification product or model.
  • Reverse-engineer, decompile, or attempt to extract the source code of the SDK or API.
  • Resell, sublicense, or otherwise distribute API access to third parties without our written consent.
  • Probe, scan, or test the vulnerability of our systems or circumvent authentication mechanisms.
  • Use the Service in any way that could damage, disable, or impair CleerWayID infrastructure.

5. API Keys & Security

Your API Key is confidential. You must not embed it in client-side code, commit it to public repositories, or share it with unauthorised parties. If you suspect your key has been compromised, rotate it immediately through the developer dashboard and notify us at security@clearwayid.com. You are liable for all usage incurred under a compromised key until it is revoked.

6. Fees & Payment

6.1 Subscription Plans

Subscription plans are billed monthly in advance. The fee covers a fixed number of Verifications per billing period. Overages beyond the included volume are charged at the per-Verification rate specified in your plan.

6.2 Pay-as-you-go

Pay-as-you-go accounts are billed in arrears on the 1st of each calendar month based on actual Verifications consumed in the prior month. Volume discount tiers apply automatically.

6.3 General Billing Terms

  • All fees are quoted in US dollars and are exclusive of applicable taxes.
  • Failed payments will be retried for up to 7 days. Continued failure may result in suspension of API access.
  • Fees are non-refundable except as required by law or as explicitly stated in a separate agreement.
  • We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of new pricing.

7. Data Processing

When you use CleerWayID to process End User identity data, you act as a data controller and we act as your data processor. You are responsible for:

  • Having a valid legal basis to collect and process End User identity data.
  • Providing End Users with clear notice and, where required, obtaining explicit consent.
  • Ensuring your use of CleerWayID complies with GDPR, CCPA, and any other applicable data protection law.

Our processing of End User data on your behalf is governed by our Data Processing Agreement (DPA), which forms part of these Terms and is available on request at legal@clearwayid.com.

8. Intellectual Property

CleerWayID and its licensors retain all intellectual property rights in the Service, including the API, SDK, documentation, and any AI models. Nothing in these Terms transfers ownership of any intellectual property to you. You retain ownership of your application code and your End User data.

You grant CleerWayID a limited, royalty-free licence to process data you submit through the API solely to the extent required to provide the Service.

9. Availability & SLA

We target 99.9% API uptime on Pro and Business plans, measured monthly. Enterprise customers receive a contractual SLA with defined remedies. We reserve the right to perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by events outside our reasonable control.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, CleerWayID disclaims all warranties — express or implied — including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that any specific verification result is accurate or legally sufficient for your compliance obligations.

Identity verification is a probabilistic process. You are solely responsible for any decisions made based on verification results.

11. Limitation of Liability

To the maximum extent permitted by applicable law, CleerWayID's total aggregate liability for any claims arising out of or related to the Service shall not exceed the fees you paid in the 3 months preceding the event giving rise to the claim. In no event shall CleerWayID be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, data, or business, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless CleerWayID and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your End Users' claims related to verifications conducted through your application.

13. Term & Termination

These Terms commence when you first access the Service and continue until terminated. Either party may terminate at any time with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or your continued use poses a security or legal risk. Upon termination, your API Keys are revoked and any outstanding fees become immediately due.

14. Governing Law & Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA), with proceedings conducted in English in London, unless both parties agree otherwise in writing.

15. Changes to These Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or by posting a notice in the developer dashboard. Continued use of the Service after the effective date of updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service before the effective date.

16. Miscellaneous

  • Entire agreement — these Terms (together with the Privacy Policy and any DPA) constitute the entire agreement between you and CleerWayID regarding the Service.
  • Severability — if any provision is found invalid or unenforceable, the remaining provisions continue in full force.
  • Waiver — failure to enforce any provision shall not be deemed a waiver of future enforcement.
  • Assignment — you may not assign your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
